Dealer Terms and Conditions
This contract and agreement is entered into and agreed upon by Disciple Shades and the applicant on reverse side as a corporation, professional corporation, partnership, or individual known as Account. All prices and terms contained herein are subject to change without notice, and all orders are accepted subject to the process and items in affect at the time of shipment.
Orders received are subject to the availability of product and order may be returned or cancelled by Disciple Shades at any time. Disciple Shades hereby rejects any terms and conditions contained in Account’s purchase orders or other business forms when Account’s terms or conditions are inconsistent with those of Disciple Shades. All transactions shall be governed by California law.
No minimum order is required to open an account with Disciple Shades, unless a display case is needed. All COD orders will incur a $10.00 processing charge plus COD transportation charges.
All invoices are Net 30 Days from invoice unless order is written according to other terms. Payment shall be immediately due and payable if an account becomes bankrupt or is deemed to be insolvent at any time by Disciple Shades. Account shall be liable for all Disciple Shades attorney’s fee and costs incurred by Disciple Shades resulting from payment default contrary to the terms of sale. Disciple Shades may seize inventory towards payment of any account past 60 days.
SHIPMENT OF ORDERS
Significant care is taken in the preparation of orders from shipment. If any discrepancies are found, claims should be made immediately, as our responsibility ceases with safe delivery to the carrier. Claims for damaged merchandise or shortages will be waived unless Disciple Shades is notified in writing within 15 days of receipt of goods. All shipments are F.O.B. Encinitas, California. All orders will be shipped via UPS unless otherwise agreed upon. Dealer is responsible for all shipping costs.
RETURNED GOODS POLICY
Accounts must secure in advance a written authorization to return merchandise for any reason, including Warranty Service. Returns should not be deducted from invoice payments until a credit memo is issued. All return merchandise shipments must be shipped UPS Pre-Paid insured and boxes must bear the Return Authorization number provided by our customer service department. If a package does not display the Return Authorization number, it will be refused. Please contact your Disciple Shades sales representative or Customer Service Representative for return authorization and Return Authorization number. Please provide the following on all return requests: quantity, product item # and description of items you are returning, original invoice number and your Disciple Shades Project account number, phone number and contact name.
INVOICING ERRORS AND INQUIRIES
In the case of an invoicing error or inquiry, send your inquiry in writing on a separate sheet so that we receive it within 30 days after the invoice was mailed. Your written inquiry must include: your name and Disciple Shades account number, a description of the error and why you believe it is in error, and, the dollar amount of the suspected error.
LIMITED WARRANTY
Disciple Shades sunglasses are warranted by Disciple Shades for three years from date of purchase against defects in materials and/or workmanship. Disciple Shades will replace or repair at our option, with proof of purchase, any Disciple Shades sunglasses found to be defective during the warranty period.
This warranty shall not apply to any defects or damage caused by improper or unreasonable use of the products. Disciple Shades lenses are not warranted against scratching however see LRG.
All warranties that are implied by law are also limited for three (3) years from the date of purchase. Some states do not allow limitations on how long an implied warranty lasts or do not allow the exclusion or limitation of incidental damages, so the above limitation may not apply to you. This warranty gives you specific legal rights, and you may also have other rights which vary from state to state.
REPLACEMENT LENS
Through Disciple Shades Replacement (see LRG) consumers can opt to replace scratched lenses for a nominal shipping & handling fee of $9.95 directly through Disciple Shades. The LRG policy is subject to change without notification. Please contact Disciple Shades Customer Service (886-552-7309) for details on the LRG program including coverage and fees. To use the LRG, please send the lenses or entire sunglass product to: Disciples Shades / LRG / 2728 Lone Jack RD / Encinitas, CA 92024 in a protective box and include your name, address, phone number, email, check, money order or credit card # and a brief description of the problem. If you’re just sending lenses, please include the sunglass model name and number.
